An air conditioner with ventilation is provided to improve convenience of installation and execute cooling/heating and ventilating of the inside easily by forming a passage control device for switching a passage inside. An air conditioner with ventilation comprises a casing(101), a heat transfer part(130), an intake/exhaust fan(120,121), a heat exchanging passage, and a ventilating passage. The casing has an indoor heat exchanger connected with an outdoor unit inside. The heat transfer part, which is placed in the casing, selectively heat exchanges indoor air with outdoor air. The intake/exhaust fan is capable of forcedly blowing the indoor air with the outdoor air. The heat exchanging passage heat transfers indoor and outdoor air sucked into the casing. The ventilating passage, which is selectively opened with the heat exchanging passage, exhausts pre-heat exchange of indoor and outdoor air to the inside and outside directly. Additionally, a passage control device selectively opens the heat exchanging passage and the ventilating passage.
