PROBLEM TO BE SOLVED: To provide a method of preparing an epoxy resin composition useful as a plastics raw material; a thermosetting resin material; an antioxidant; a component for an electric/electronic part insulating material, an adhesive, a paint, and a molding material; and an intermediate for various industrial uses. SOLUTION: The method of preparing an epoxy resin composition comprises the steps of: condensation polymerizing, under an existence of a basic catalyst, one or more types of phenols selected from the group consisting of a cresol, a xylenol, a trimethylphenol, 2-tert-butyl-5-methyl-phenol, 2-tert-butyl-4-methylphenol, an octylphenol, a phenylphenol, a diphenylphenol, 2,3,6-trimethylphenol, guaiacol, hydroquinone, a resorcin, a catechol, a naphthol, a dihydroxynaphthalene, a methyl naphthol, and an allylphenol, and a compound represented by Formula 4 (wherein X is an oxygen atom or a sulfur atom, plural Qs are each an hydrogen atom or 1-5C alkyl group, and j is an integer of 1 to 3), to prepare a phenolic compound; and reacting the phenolic compound with an epihalohydrin.
