An LCD and a fabrication method thereof are provided to form a first contact hole penetrating the common electrode and expose the black matrix to adhere a sealant with a black matrix with a high adhesive force and increase an adhesive area of the sealant, thereby improving an adhesive force between an upper array substrate and a lower array substrate. A black matrix(112) is formed on an upper substrate(111). A common electrode(114) covers the black matrix. A lower array substrate is bonded with an upper substrate(111) including the black matrix and the common electrode by using a sealant(126) as a medium. A contact hole is formed in the upper substrate of an area where the sealant is formed. The contact hole includes a first contact hole(115) penetrating the common electrode and exposing the black matrix. A second contact hole penetrates the common electrode and the black matrix and exposes the upper substrate.
