An oscillator circuit and a semiconductor memory device are provided to generate an oscillation signal with a fixed frequency without being influenced by the variation of capacitance due to the variation of a threshold voltage(Vth). An oscillator circuit includes a capacitor(35), a first constant current source(33), a second constant current source(34), a control circuit and a circuit for shifting output at switching timing of a first operation and a second operation. The first constant current source is electrically connected to one end of the capacitor, and the second constant current source is electrically connected to the end of the capacitor. The control circuit is connected to a first and a second reference potential and one end of the capacitor. The control circuit switches the first operation of charging the capacitor by connecting the first constant current source to one end of the capacitor and the second operation of discharging the capacitor by connecting the second constant current source to one end of the capacitor, according to the comparison result between the potential of one end of the capacitor and the first and the second reference potential.
