PROBLEM TO BE SOLVED: To provide a preparation method of a polysaccharide derivative with high solubility in an aqueous solvent. SOLUTION: The polysaccharide derivative is prepared by binding a polysaccharide having a carboxyl group and an organic compound having a functional group which can be bound with a carboxyl group using a compound represented by general formula (1) as a condensation agent, wherein R<SP>3</SP>, R<SP>4</SP>and R<SP>5</SP>each denote an organic group of which the atom to combine with at least quaternary nitrogen atom is a carbon atom independently and two or three among them may form a ring structure by combining with each other, R<SP>1</SP>and R<SP>2</SP>each independently denote 1-4C alkyl group or a 6-8C aryl group and Z<SP>-</SP>denotes a counter anion.
