An apparatus and Method for changing ATM(Asynchronous Transfer Mode) to a modified ATM cell are provided to reduce the loss of a band width, thereby maximizing the use of other communication data and minimizing the effect of communication speed due to generating padding data. An apparatus for changing ATM(Asynchronous Transfer Mode) to a modified ATM cell comprises the followings: an ATM cell dividing unit for outputting at least one ATM 2 CPS(Common Part Sublayer) packet; an ATM processing unit for generating similar AAL(ATM Adaptation Layer) including length identifier which size information of data and re-constructed data from each outputted payload; and a similar ATM cell assembling unit for generating similar ATM cell constituted with mixture of at least one AAL and a header constructed with partial similar AAL and header error correction bite and an initial point.
