An apparatus and method for changing ATM(Asynchronous Transfer Mode) to an extended ATM cell with overheader are provided to implement an extension ATM cell in which overheader including communication information is added, thereby improving the efficiency and speed of communication, conveniently operating and managing ATM. An apparatus for changing ATM(Asynchronous Transfer Mode) to an extended ATM cell with overheader comprises the followings: a receiving unit(810) for receiving ATM cell received from an ATM base station; a cell changing unit(820) for maintaining the received ATM cell type, adding the overheader to the ATM cell and generating extension ATM cell; and a transmitting unit(830) for transmitting the generated extension ATM cell. The overheader has a cell identifier for classifying whether the extension ATM cell is a data cell or an operation cell.
