A panel composition free from formaldehyde, a method for preparing a panel by using the composition, and the panel prepared by the method are provided to prevent the shrinkage or expansion of the composition and to improve moisture resistance and salt resistance. A panel composition comprises 3-12 wt% of a synthetic resin; 28-64 wt% of a wood powder; 15-50 wt% of phyllite; and 10-40 wt% of light calcium carbonate. Preferably the synthetic resin is any one selected from poly(vinyl chloride), polyethylene, polypropylene, acrylonitrile-butadiene-styrene and polystyrene. A method for preparing a panel comprises the steps of (S20) melt mixing a phyllite powder, a synthetic resin, a wood powder and light calcium carbonate; (S30) extruding the molten one by using a twin extruder at 160-210 deg.C for 20-30 min; (S40, S50) injecting the extruded one into a mold to press it; and (S60) cutting it.
