<P>PROBLEM TO BE SOLVED: To provide a content distribution system wherein a terminal device participating in the system and having the software required by a newly participating terminal device can send the software to the newly participating terminal device; an information processing method thereof; and a terminal device. <P>SOLUTION: The content distribution system has a distribution device for distributing content data, and a plurality of terminal devices 2 logically connected to one another in a hierarchical, multilayered manner, with the distribution device at their apex. The content data distributed from the distribution device is relayed downstream by the relaying function of the terminal devices and distributed to all of the plurality of terminal devices in sequence. The distribution device has a content data storage means, a content data sending means and a software update request process means.
