PROBLEM TO BE SOLVED: To provide a compact high-variable-power zoom lens suitably used for a digital still camera or the like using an imaging device such as a CCD or a CMOS, and to provide an imaging apparatus. SOLUTION: The zoom lens includes a second lens group 20, a fourth lens group 40 and a fifth lens group 50 moved on different loci in zooming, and the second lens group 20, the fourth lens group 40 and the fifth lens group 50 have refractive power of different signs.
