A multilayer capacitor and a manufacturing method thereof are provided to control a series equivalent resistance by decreasing a width of a resistor layer. A multilayer capacitor includes a laminate(10) and first and second terminal electrodes. Plural dielectric layers and plural inner electrodes are alternatively stacked in the laminate. The inner electrodes include plural first and second inner electrodes(21,22,31,32) which are alternatively arranged with respect to each other. The first inner electrode includes a first capacitor forming region and an elongation portion with a first width. The elongation portion is elongated to expose an end portion thereof at the side where the first terminal electrode is arranged. The second inner electrode includes second capacitor forming regions(23,24) and second elongation portions(25,26). The first terminal electrode includes a resistor layer whose resistivity is greater than that of the first inner electrode. The resistor layer has a second width which is smaller than the width of the side portion where the first terminal electrode is arranged, and greater than a first width. The resistor layer continuously covers the end portion of the elongation portion which is exposed to the side surface of the laminate. |
