PROBLEM TO BE SOLVED: To provide an electrophoretic display device and an electronic apparatus, in which display defects can be prevented by evading crush of microcapsules in the case of sticking a waterproof film. SOLUTION: In the electrophoretic display device 1, a display element 20 for holding microcapsules 6 into which a display material whose optical characteristics are changed in response to an electric impulse is sealed between a pair of first and second substrates 3, 5 which are opposed to each other is sealed by a protection film 14. Where, a first electrode 2 is formed on the opposite surface side of the first substrate 3 which is opposed to the second substrate 5, a second electrode 4 is formed on the opposite surface side of the second substrate 5 which is opposed to the first substrate 3, and a spacer 16 is arranged in a gap between the outer periphery of the opposite surface side of the first substrate 3 and the first electrode 2.
