PROBLEM TO BE SOLVED: To provide an electro-optical apparatus capable of appropriately shielding light of respective regions, even when light-shielding layers are respectively formed in regions that are different in the layer configuration of the lower-layer side of an element substrate, and to provide an electronic equipment equipped with the electro-optical apparatus. SOLUTION: The liquid crystal device 1 is formed with the first light-shielding layer 51 overlapping between pixels 2a and the second light-shielding layer 52 overlapping over the upper layer side, with respect to a thin-film transistor 1c on an element substrate 10. Also, on a counter substrate 20 is formed the third light-shielding layer 53 in a position lapping over the second light-shielding layer 52. In simultaneously forming the first light-shielding layer 51 and the second light-shielding layer 52 by a light-shieldable resin applied by a spin coating method, the film thickness of the light-shieldable resin is set, based on the optical thickness required for the second light-shielding layer 52.
