A process for preparing quaternary nitrogen-containing cellulose ether using quaternary ammonium compound treated with an organic acid and cellulose ether is provided to inhibit formation of salt to simplify and make the process environment-friendly. The process comprises preparing quaternary nitrogen-containing cellulose ether from quaternary ammonium compound and cellulose ether, in which the quaternary ammonium compound is activated with an organic acid in a catalytic amount. The orgnic acid is at least one selected from paratoluene sulfonic acid, paratoluene sulfinic acid, acetic acid, butiric acid, palmitic acid, oxlaic acid and tartaric acid. The quaternary ammonium compound is reacted in an equivalent amount of 0.01 to 3.0 to an organic acid. The cellulose ether derivative is selected from methyl cellulose, benzyl cellulose, hydroxyethyl cellulose, hydroxypropyl cellulose, hydroxypropyl cellulose, ethylhydroxyethyl cellulose, hydroxyethylmethyl cellulose and hydroxybutylmethyl cellulose. The quaternary ammonium compound is 2,3-epoxypropyl tri-C1-22 alkyl ammonium chloride.
