PROBLEM TO BE SOLVED: To provide a rubbery matter-containing copolymer having good dispersibility to thermoplastics and excellent in heat resistance and retention stability and a thermoplastic resin composition containing the copolymer. SOLUTION: The rubbery matter-containing copolymer is a rubbery matter-containing copolymer (A) having one or more kinds of chemical structures selected from a cyclic structure unit represented by general formula (1), and weight average molecular weight of a soluble component (B) contained in the rubbery matter-containing copolymer (A) and obtained by extracting the copolymer (A) with an organic solvent is 30,000-120,000.
