PROBLEM TO BE SOLVED: To provide a functional standard cell including a bypass condenser which provides a satisfactory capacity without enlarging the area thereof and of which residual inductance is small for eliminating a power supply noise of a high frequency component, and a semiconductor integrated circuit comprising the same. SOLUTION: The semiconductor integrated circuit includes at least one standard cell or macro cell having multiple wiring layers and is equipped with a signal wiring layer comprising at least one layer which is formed on a semiconductor substrate and a three terminal capacitor formed on the signal wiring layer, wherein the three terminal capacitor comprises: a power supply wiring layer; and a first and second earth wiring layers sandwiching the power supply layer via an insulating layer. A functional circuit element can provide a semiconductor integrated circuit to which a power is supplied from the power supply wiring layer and the first earth wiring layer.
