PROBLEM TO BE SOLVED: To provide a chromate-free composite vibration-damping material which has excellent adhesive strength, especially durable adhesion equal to a conventional chromatized composite vibration-damping material. SOLUTION: The resin composite vibration-damping material has a multiple-layer structure that a viscoelastic resin composition is sandwiched between metallic plates as an intermediate layer. In this material, the viscoelastic resin composition is a heat-curing resin composition comprising an amorphous copolymer polyester resin, an acid anhydride compound and a polyepoxy compound as representing an optimal combination of substrate treatment and resin composition. In addition, a chromate-free adhesive substrate film composed of components such as 20 mass% or higher to 60 mass% or lower silica, 40 mass% or higher to 80 mass% or lower polyester resin and 0 mass% or higher to less than 1 mass% tannic acid, is formed on the surface of the metallic plate on the adjacent side to a viscoelastic resin layer.
