PROBLEM TO BE SOLVED: To provide an aqueous resin composition which is useful as a vehicle for various coatings, inks, and the like, is excellent in coating suitability, and can form good coating films. SOLUTION: This method for producing the aqueous resin composition is characterized by comprising two polymerization steps which comprise emulsion-polymerizing 90 to 30 mass% of a monomer mixture (A) containing 1 to 30 mass% of a carboxyl group-containing monomer (a) and 1 to 60 mass% of an aromatic monomer (b), neutralizing all or a part of the carboxyl groups of the obtained emulsion polymer with a basic substance, and then emulsion-polymerizing 10 to 70 mass% of at least one monomer (B) except the above-mentioned monomer (a).
