PROBLEM TO BE SOLVED: To provide a metal-like decorative sheet excellent in the adhesive to a metal and not peeled even by secondary processing such as punching, bending, deep drawing, etc. SOLUTION: The metal-like decorative sheet is constituted by integrally laminating a first modified polyolefinic resin layer, a metal thin film layer, a second modified polyolefinic resin layer and a transparent film layer in this order. The first and second polyolefinic resin layers comprise at least one polyolefinic resin selected from the group consisting of a polyethylenic resin, a polypropylene resin and an ethylene/propylene rubber-based resin and contains a modified polyolefinic resin, which is modified with an unsaturated carboxylic acid or an unsaturated carboxylic acid derivative in the sum total amount of 50 wt.% or more and is characterized in that the tensile stress at 5% stretching is 25-500 MPa.
