Phase optical-electronic range finder has block for range measuring and block for measurement of phase difference in which block for range measuring has emitter, photo-receiver, main generator, heterodyne, two power amplifiers, two multipliers, two low frequency filters, two amplifiers - restrictors. At that the input of main generator is through power amplifier connected to emitter, and through multiplier low frequency filter and amplifier - restrictor is connected top first input of block of phase difference measurement. Output of heterodyne is connected to the second input of multipliers, and the block for phase difference measurement has counter and scale generator. At that the input of the counter is connected to scale generator, and block for range measuring additionally has resonance amplifier of photo-receiver power.
