PROBLEM TO BE SOLVED: To provide an optical unit which allows two optical elements having free curved surface shapes and a holding member having a diaphragm aperture, to be fixed at accurate positions of a frame by relatively easy work. SOLUTION: An optical unit 11A includes a first prism 41, a second prism 42, and a holding member 43 having a diaphragm aperture 43a. The first prism 41 is provided with a first fitting part 71. The second prism 42 is provided with a second fitting part 72. A first part to be fitted 81 and a second part 82 to be fitted are formed on a frame 21. In a state in which the holding member 43 is fixed at a prescribed position of the frame by a screw member 85, the first fitting part 71 is fitted to the first part to be fitted 81 and the first prism 41 is pressed toward one face 43b of the holding member 43, whereby the first prism 41 is held by the holding member 43. The second fitting part 72 is fitted to the second part to be fitted 82 and the second prism 42 is pressed toward the other face 43c of the holding member 43, whereby the second prism 42 is held by the holding member 43.
