A developing device and an image forming apparatus with the same are provided to maintain small interval between a developer transfer and a developer carrying unit and solve density difference of developer carried within the developer carrying unit, thereby forming a high quality of image. A developing device comprises the followings: a cylindrical developer carrying unit(1) which carries developer and can rotate around an axial line; a magnetic field generator(4) which is included within the developer carrying unit(1) and has plural magnetic poles fixed around its circumference; a developer transfer(6) which is placed around the developer carrying unit(1) and supplies the developer toward an outer circumference of the developer carrying unit(1); and a regulating member(7) for regulating a quantity of the developer carried within the developer carrying unit(1).
