PROBLEM TO BE SOLVED: To provide a lens device using a sealing member which can easily be deformed at the assemblage so as to improve a workability and to secure a waterproof and drip-proof performance when sealing, and also which can be downsized, and to provide an optical apparatus having the lens device. SOLUTION: The lens device includes a lens holding member 21 for holding the lens, a fixing frame 22 for fixing the lens holding member and the sealing member 26 composed of a foamed material, and a gap between the lens holding member and the fixing frame is sealed by the sealing member while fixing the lens holding member in the fixing frame. The sealing member 26 has such a structure that the mechanical strength of the lens holding member side contact part and the mechanical strength of the fixing frame side contact part in a direction vertical to the optical axis are made higher than that of the center part side.
