PROBLEM TO BE SOLVED: To provide an aqueous resin composition capable of exhibiting excellent physical characteristics without using a surfactant and capable of being produced without requiring complicated production processes. SOLUTION: This aqueous resin composition is produced by heating and dissolving 100 pts.wt. of an acid-modified chlorinated polyolefin in the presence of 20-67 pts.wt. of a glycol ether-based compound expressed by general formula (1): C<SB>4</SB>H<SB>9</SB>-(OCH<SB>2</SB>CH<SB>2</SB>)n-OH (n is an integer of 1 to 4) and 50-380 pts.wt. of water, and then dispersing them by a basic compound which is added thereto in a ratio of a chemical equivalent of 1-4 times larger than that of carboxy groups of the acid-modified chlorinated polyolefin.
