PROBLEM TO BE SOLVED: To provide a transparent conductive film having pliability to prevent it from being broken, even if a stress relaxing layer is deformed, superior sliding resistance, small thermal contraction, and a hard coat layer with high hardness, and a durable touch panel having this transparent conductive film. SOLUTION: In this transparent conductive film 10, the hard coat layer 12 is formed on one side of a polymer film 11, and a transparent conductive film 14 is formed on the other side via the stress relaxing layer 13 made of an acrylic resin. The hard coat layer 12 contains acrylate resin, and the composition of the acrylate resin contains 20-40 pts.wt. of pentaerythritol tetraacrylate and 60-80 pts.wt. of dimethylol tricylodecane diacrylate.
