A modulator for an electric optical apparatus and a method for manufacturing the same are provided to use no additive adhesive member for binding between a reflective film and a transparent substrate, by binding the reflective film to a sealing wall formed along the edge of the transparent substrate. An electrode layer(120) is formed on a transparent substrate(110). A sealing wall(130) is formed along the edge of the transparent substrate. A liquid crystal compound solution is spread on the electrode layer, wherein the liquid crystal compound solution contains polymers and liquid crystal molecules. A reflective film(150) is bound to the liquid crystal compound solution and the sealing wall. The liquid crystal compound solution is hardened to manufacture a PDLC(Polymer Dispersed Liquid Crystal)(240).
