Provided are diene-based copolymers, which are improved in mechanical properties, dynamic properties, cold flow, and processability when mixed with silica, and are useful for silica tires, and a preparation thereof. The diene-based copolymer is prepared by polymerizing a living polymer, a coupling agent represented by the following formula 1 or 2, and a modifier represented by the following formula 3, wherein the living polymer is obtained by polymerizing conjugated monomers solely or a mixture of conjugated diene monomer and vinyl aromatic monomer. In the formula 1, M is tin and Group 4 metal(silicon metals) of the periodic table. In the formula 2, X is a halogen atom such as fluorine, chlorine, bromine, or iodine, Y is Si or C, R is a C1-20 lower alkyl group, R^1 is a C1-20 alkyl group, a hydrogen atom, a halogen-substituted alkyl group, or a halogen-substituted silane group, R^2 is a halogen atom including fluorine, chlorine, bromine or iodine, a C1-20 lower alkyl group, a hydrogen atom, a halogen-substituted alkyl group, or a halogen-substituted silane group, a is 1-3, a+b=3, c is 1-1000, and d is 1-50000. In the formula 3, R, R^1, and R^2 each is a C1-20 lower alkyl group and a is 1-1000.
