<P>PROBLEM TO BE SOLVED: To provide a soundproof air conditioner capable of exercising high soundproof property without using a damping material on the entire outer face of the air conditioner and having superior heat insulating property in the air conditioner of light weight, having superior transportability and workability. <P>SOLUTION: The damping material 2 (organic high molecular material tanδ=3.5, manufactured by Sekisui Chemical Co., Ltd) is adhered to each of four outer faces at a damping sheet side, of an air conditioning duct 1 made of steel material and having a rectangular cross-sectional dimension of 400×600 mm (thickness=0.6 mm), by 70% of an area of each face. Rivets are mounted on outer faces of the duct 1 and the damping material 2 by an adhesive agent, and then the entire outer face of the duct 1 and the damping material 2 is coated with a glass wool layer 3.
