PROBLEM TO BE SOLVED: To provide a protecting circuit whereby a voltage clamp for suppressing a resonance is made possible, and to provide a semiconductor device using the protecting circuit. SOLUTION: In a circuit 110 to be a protecting object and a protecting circuit 100 connected via lines W1, W2 including inductance components, a first transistor Q1 is provided on the route to a ground from a connecting point 34 between the protecting circuit 100 and the line W1. A second transistor Q2 is provided on the route to the ground from a connecting point 36 whereby the circuit 110 to be a protecting object and the line W2 are connected, and extracts a current from the connecting point 36 in accordance with a current flowing through the first transistor Q1. The first and second transistors Q1, Q2 are npn type bipolar transistors whose bases are connected with each other in common, and whose emitters are done. A resistance R3 is interposed connectively between the base and emitter of the first transistor Q1, and a diode D1 is interposed connectively between the base and collector of the first transistor Q1.
