PROBLEM TO BE SOLVED: To provide a transparent resin composition showing minus double refraction, excellent in transparency, heat resistance, ultraviolet ray absorbing property, and volatility resistance, and an optical film comprising the transparent resin composition. SOLUTION: This transparent resin composition is prepared by compounding 0.1-10 parts by weight at least one ultraviolet ray absorbing agent selected from the group consisting of a benzotriazole ultraviolet ray absorber and a triazine ultraviolet ray absorber to the total of 100 parts by weight copolymers comprising 20-85 wt% copolymer (a) having anα-olefin residual unit to an N-phenyl substituted maleimide residual unit molar ratio of 49/51-35/65 and having a weight average molecular weight of not lower than 5×10<SP>3</SP>but not higher than 5×10<SP>6</SP>, and 80-15 wt% acrylonitrile/styrene copolymer (b) having an acrylonitrile residual unit to a styrene residual unit weight ratio of 20/80-50/50 and having a weight average molecular weight of not lower than 5×10<SP>3</SP>but not higher than 5×10<SP>6</SP>, and this optical film comprises the composition.
