PROBLEM TO BE SOLVED: To provide an impact strength modifier which is excellent in impact resistance, resistance to whitening by impact and handleability without deteriorating the excellent transparency of a methacrylic resin, and an impact-resistant resin composition obtained using the same. SOLUTION: The impact strength modifier contains an innermost layer polymer (A), an intermediate layer polymer (B) and a graft layer polymer (C) having a graft inner layer polymer and a graft outer layer polymer. The polymer of each layer is obtained by polymerizing a monomer component containing a monomer mixture comprising a 1-4C alkyl methacrylate etc. and a polyfunctional monomer in the presence of the polymer(s) of the lower layer(s). The graft inner layer polymer (C-1) has a glass transition temperature Tg of≥20°C and <80°C, and the graft outer layer polymer (C-2) has a glass transition temperature Tg of 80-120°C.
