PROBLEM TO BE SOLVED: To obtain an adhesive composition which can enhance both shear bond strength and peel bond strength with good balance and be used as a reliable structural adhesive. SOLUTION: The adhesive composition comprises (a) 100 pts.wt. of a mixture of a urethane modified epoxy resin (a1) and an epoxy resin (a2) having on average two or more glycidyl groups, (b) 1-20 pts.wt. of a dicyandiamide type curing agent, (c) 0.1-20 pts.wt. of a curing accelerator, (d) 10-30 pts.wt. of an acrylic rubber, and (e) 30-150 pts.wt. of a filler with an average particle diameter of 5-50μm, selected from among aluminum powder, alumina powder and glass powder. Preferably the above epoxy resin (a2) having on average two or more glycidyl groups is a bisphenol type epoxy and the mixing ratio of the urethane modified epoxy resin (a1) and the bisphenol type epoxy resin (a2) is 70:30-30:70.
