PROBLEM TO BE SOLVED: To provide a clamp device which corrects an image data signal obtained by imaging a subject based upon the black level signal and an imaging apparatus having the clamp device, in which the value of a black level signal is kept constant. SOLUTION: A clamp pulse signal generation part 32 generates the black level signal indicating a black level output from a subordinate imaging region 36 formed adjacently to a main imaging region 34 and a clamp pulse signal for acquiring an image data signal output from the main imaging region 34 in synchronism with some timing between the start of closing of a shutter 10 disposed at position where the optical path from the subject to the main imaging region 34 is blocked and the complete closing of the shutter.
