PROBLEM TO BE SOLVED: To provide a simple oil cooler superior in heat exchange efficiency. SOLUTION: An outer pipe 34 is extended to both side walls 10A and 10B of an oil pan 10, and is formed with a double tube part 34A for arranging an inner pipe 36 in a substantially concentric shape inside, and a single pipe part 34B continuing in a substantially coaxial state with this double tube part 34A. A cooling water passage 32 is formed over the inside of the single pipe part 34B and the inner pipe 36. An annular second section 30B fluid-tightly defined to the cooling water passage 32 and forming a part of an oil suction passage 30 to an oil pump 22 from an oil suction port 28, is arranged between the double tube part 34A and the inner pipe 36.
