PROBLEM TO BE SOLVED: To provide a ventilating device with an air conditioning function for actualizing effective ventilating operation by supplying an air flow throughout a room. SOLUTION: The ventilating device comprises a device body 3 having a ventilating unit 2 to be installed on an inner wall face 1 in a laid state thereon in the longitudinal direction, and an air conditioning unit 4. Part of the air flow supplied from a room side air supply port 11 provided in the upper part of the device body 3 is taken into a circulated air inlet 12 provided in the upper part of the air conditioning unit 4, and conditioned air is blown out of an air outlet 13 provided in the lower part of the air conditioning unit 4 into the room.
