A cogeneration system is provided to regulate heat media supplied to a waste heat supply heat exchanger accurately according to load of a heat pump air conditioner by mounting a first distributor and a second distributor, and to prevent frost of an outdoor heat exchanger by evaporating refrigerant with the waste heat supply heat exchanger. A cogeneration system includes a generator(50), a driving source(52) driving the generator and generating heat, a waste heat recovery unit(60) recovering waste heat of the driving source, a waste heat supply heat exchanger(80) supplying heat from the waste heat recovery unit, a radiating heat exchanger(76) radiating heat from the waste heat recovery unit, a first distributor(82) distributing heat media from the waste heat recovery unit to the waste heat supply heat exchanger and the radiating heat exchanger, and a second distributor(84) redistributing heat media flowing from the first distributor to the waste heat supply heat exchanger and the radiating heat exchanger. The first distributor is installed in a connection portion of a heat medium circulation passage(72) and a radiating passage(78), and the second distributor is mounted in the radiating passage to redistribute heat media from the first distributor to the radiating passage.
