PROBLEM TO BE SOLVED: To provide a sound insulating device of a compressor and an outdoor unit of an air conditioner using this device, capable of being accurately assembled in a desired shape by a minimum constituting member. SOLUTION: This sound insulating device 11 of the compressor is assembled in a three-dimensional shape by bending a sheet-like sound insulating material of sticking felt to a rubber sheet. A projection part 16 projecting from an end surface of an edge part, is arranged in the edge part of the sound insulating material 12, and an opening part 17 fitted with the projection part 16 is arranged in a part opposed to the edge part in assembling among the sound insulating material 12.
