PROBLEM TO BE SOLVED: To provide a ventilator with the air-conditioning function, adjustable and installable even if the position of holes for an air conditioner and a ventilator are dislocated a little from a normal position. SOLUTION: This ventilator with the air-conditioning function has an air-conditioning unit 4 fixed in layers in front of a device body 3 arranged on the wall surface side in a shape capable of storing a ventilation unit 1, a ventilation unit installing plate 5 for installing the ventilation unit 1 and arranged on a wall surface so as to support the device body 3, and an adjusting metal fitting 6 for adjusting a relative position of the ventilation unit installing plate 5 and the device body 3; and can be adjusted and installed even if the position of the holes for the air conditioner and the ventilator are dislocated by constituting so as to install an air adjusting unit 4 in the device body 3 for adjusting the position in the vertical or lateral direction on the ventilation unit installing plate 5 via the adjusting metal fitting 6.
