PROBLEM TO BE SOLVED: To provide a ventilating device and an air conditioner capable of minimizing the restriction in ventilating operation based on conditions of indoor and outdoor temperatures and humidities, by reducing temperature difference between an air supply temperature and an air discharge temperature on an indoor side by providing the ventilating device with a heat exchanger for ventilation exchanging heat between the supplied air and the discharged air, keeping a comfortable indoor environment by performing more ventilating operation, and preventing dew condensation in the ventilating device. SOLUTION: In this ventilating device wherein an air discharge passage 323 for discharging the indoor air outdoors, and an air supply passage 343 for supplying the outdoor air indoors are formed in a casing having an air supply/discharge opening, the air discharge passage and the air supply passage are opposite to each other through a partitioning wall, and an air supply fan 380 and an air discharge fan 360 are mounted in the casing, the heat exchanger for ventilation 370 for exchanging the heat between the supplied air and the discharged air, is mounted on the partitioning wall 50, and the operation of the air supply fan is controlled on the basis of the indoor temperature, indoor humidity and outdoor temperature.
