PROBLEM TO BE SOLVED: To provide an outdoor unit and an air conditioner that comprises a means for changing engine efficiency regardless of a combustion state on an engine side, and is constituted by diversifying an increasing/decreasing means of engine exhaust heat. SOLUTION: In this outdoor unit 5 comprising a gas engine 53 driving a compressor 17 for compressing a refrigerant and circulating the same in a refrigerant circuit 7, an exhaust gas heat exchanger 65 performing heat exchange between an exhaust gas of the gas engine 53 and cooling water, a radiator 63 performing heat exchange between the cooling water and the outside air, a water heat exchanger 31 performing heat exchange between the cooling water and the refrigerant, and a cooling water circuit formed by connecting the exhaust gas heat exchanger 65, the gas engine 53, the radiator 63 and the water heat exchanger 31, and circulating the cooling water, a control portion 37 is mounted for adjusting the supply of cooling water to the radiator 63 and the water heat exchanger 31, and adjusting a temperature of the cooling water flowing into the gas engine 53.
