PROBLEM TO BE SOLVED: To provide a muffler which is provided with a resin-made noise-damping material, and having outstanding noise-damping performance and recyclability, and further provide a method for easily manufacturing the muffler. SOLUTION: A porous pipe 7 is inserted in a housing 2 with a hollow 8 kept therebetween. A noise-damping material 4 is formed by filling, foaming, and curing an open-cell-type resin in the porous pipe 7 and the hollow 8. The porous pipe 7 is drawn out of the housing 2, and a number of pores 5 communicating with the inside of the noise-damping member 4 and a wall (general part) 6 which does not communicates with the inside of the noise-damping member are formed in a gas flow-path 3.
