PROBLEM TO BE SOLVED: To provide a counter circuit capable of reducing power consumption and a semiconductor device using it. SOLUTION: The counter is equipped with counters (F0-F2, G1-G4) which have multistep flip-flops for counting clock signals, and a mask circuit (F100, G5) which controls supply of the clock signals to an N-step flip-flop by using output from one step flip-flop to an (N-1)step flip-flop (N is a natural number, and equal to or larger than 3) among the multistep flip-flops.
