PROBLEM TO BE SOLVED: To provide a cell-shape measuring device and a measuring method therefor that takes into consideration the dispersion of a cell opening area. SOLUTION: This cell-shape measuring device is equipped with an illumination means for adjusting the illumination intensity so that prescribed pixels in an imaged image of a reference plate by an imaging means has a prescribed pixel values, the imaging means for acquiring an imaged image, by imaging a plurality of cells in the enlarged state on the same screen by an objective lens having the power higher than a desired power and a relay lens having the power of one or higher, a shading correction means for acquiring a corrected imaged image by shading correction to the imaged image, a cell-shape measuring means for measuring the cell-shape relative to each of a plurality of cells based on the corrected imaged image, and a mean value calculation means for acquiring the average cell-shape value by calculating the mean value of the cell shape.
