<p>A zoom lens being suitable for downsizing without increasing the number of lenses and capable of correcting shaking, and an imaging device using the zoom lens. The zoom lens comprises, arranged sequentially from an object side, a first lens group G1 having a positive refractive power, a second lens group G2 having a negative refractive power, a third lens group G3 having a positive refractive power, a fourth lens group G4 having a positive refractive power, and a fifth lens group G5 having a positive refractive power, wherein, when a lens position state is changed from a wide-angle end state to a telescopic end state, the first lens group isfixed in the optical axis direction, the second lens group is moved to an image side, the third lens group is fixed in the optical axis direction, the fourth lens group compensates for a variation in image surface position caused by the moving of the second lens group toward the image side and at the same time is moved in the optical axis direction at near-distance focusing, the fifth lens group is fixed in the optical axis direction, aperture stop S is disposed in the vicinity of the third lens group, the fifth lens group is composed of a negative portion group L151 having a negative refractive power and a positive portion group L152 havingapositive refractive power, and, when the positive portion group is shifted in a direction almost perpendicular to the optical axis, the image can be shifted, with the following conditional expression (1) satisfied.
