PROBLEM TO BE SOLVED: To provide a solid state imaging apparatus which can be small-sized, and an electronic apparatus comprising the same. SOLUTION: In a solid state imaging apparatus 10, an imaging element 16 and a peripheral circuit element 20 are mounted on a substrate 17 and they are connected via a wire 21. The solid state imaging apparatus 10 includes a lens holder 12 for holding lenses 14a, 14b, 14c, a holder 11 for holding the lens holder 12, and an adhesive agent 18 for adhering the holder 11 on a surface of the substrate 17 whereon the peripheral circuit element 20 and the imaging element 16 are mounted, and the holder 11 includes a notched part 23 in a portion adhered with the substrate 17.
