PROBLEM TO BE SOLVED: To provide a digital signal reproducing device all of which is composed of digital circuit, which can be precisely decoded by carrying out A/D conversion by a precise sampling clock and which is a differential system using an amplitude detection method. SOLUTION: A phase difference detector 5 detects the phase difference between a PR-equalized signal and a clock signal CK2 for conversion used in a A/D converter 2, using an output of A/D converter 2, a signal value obtained by sampling a peak corresponding point in the PR-equalized signal in the output, and the difference between both signal values immediately before and immediately after the signal value. A phase adjuster 4 adjusts the phase of a reference clock signal CK1 generated with a clock generator 3 in response to the detected phase difference to supply it to the A/D converter 2 as a clock signal CK2 for conversion.
