PROBLEM TO BE SOLVED: To provide a sound absorbing panel with no lowering in sound absorbing performance and reduced in manufacturing cost, and to provide its manufacturing method. SOLUTION: The sound absorbing panel 1 formed in bag shape has a large number of holes 3 formed in both surface parts 1a, 1b and a bottom part 1c, and a sound absorbing material 2 filled in the internal space. The sound absorbing material 2 is composed of three-layer structure with high density parts 2A, 2A arranged on the surface side, and a low density part 2B held between the high density parts 2A, 2A. The use of the sound absorbing material of three-layer structure can solve a problem of having difficulty in uniform mounting in the case of using only a low density sound absorbing material, and a problem of increasing cost in the case of using only a high density sound absorbing material.
