PROBLEM TO BE SOLVED: To provide a mounting structure and an exterior structure of a holding member for holding an exterior material or a support material supporting the exterior material for constructing an exterior surface. SOLUTION: In this mounting structure of a structural material 1 having an upper flange part 11 and a holding member 2 erected on the upper flange part 11, the structural material 1 includes: the upper flange 11; and a longitudinal piece part 12 hung down from the upper flange part 11. The holding member 2 includes: a mounting part 21 having at least one or more locking parts 211; and a raised part 22 extending upward from the mounting part 21; and holding parts 23, 26 to which the exterior material 5 or a support material 9 supporting an exterior structure are fitted, wherein the upper flange part 11 of the structural material 1 and the mounting part 21 of the holding member 2 are fitted by two means, locking and fixing means.
