<p><P>PROBLEM TO BE SOLVED: To provide an aqueous resin composition for paint, ink, adhesive, sealing agent or primer having good adhesiveness to a polyolefin substrate and high compatibility to various polar resins and free from organic solvent. <P>SOLUTION: The aqueous resin composition is produced by dissolving 100 pts. mass of an acid-modified polyolefin and 5-60 pts. mass of a surfactant in 15-1,900 pts. mass of a polymerizable monomer, carrying out the phase inversion emulsification of the solution by adding water in the presence of a basic compound, and polymerizing the polymerizable monomer. As an alternative, the aqueous resin composition is produced by dissolving 100 pts. mass of an acid-modified polyolefin and 5-60 pts. mass of a surfactant in a 1st polymerizable monomer, carrying out the phase inversion emulsification by adding water in the presence of a basic compound, polymerizing the 1st polymerizable monomer to form a resin composition, adding a 2nd polymerizable monomer to the resin composition and polymerizing the 2nd polymerizable monomer.
