PROBLEM TO BE SOLVED: To provide a light quantity adjusting device to be easily positioned and assembled in an imaging system and to provide a camera using the same. SOLUTION: A shutter device 44 constituted of an electret shutter in an imaging unit 46 has two projecting parts for positioning 56 on its surfaces 44-1 and 44-2 opposed to a shutter frame 51. In the case of fixing the shutter device 44, an elastic member 55 and an optical filter 45 in the shutter frame 51 by the snap-fit mechanism of four pawl parts 59 of a shutter device fixing member 50 after successively laminating them in order to assemble the imaging unit 46, the two projecting parts for positioning 56 of the shutter device 44 are fit in the fitting hole 57 and the slot 58 of the shutter frame 51, whereby the shutter device 44 is positioned in a direction perpendicular to an optical axis O (direction X and direction Z, 1st and 3rd directions). At such a time, the outer surfaces 44-1 and 44-2 of the shutter device 44 abut on the inside surface 62 of the shutter frame 51 and are positioned in the direction of the optical axis O (direction Y, 2nd direction).
